This WHOLESALE AGREEMENT (this “Agreement”) is a legal contract between you and SEAN REMY, LLC (Sean Remy). By registering for a Sean Remy wholesale account, you acknowledge that you have read and accept and agree to the terms and conditions of this Agreement and to be bound thereby.

Furthermore, by registering, you represent and warrant that you are legally able and duly authorized to execute this Agreement and that this Agreement shall be binding upon you in accordance with its terms and conditions.

 

Wholesale Agreement

This Agreement is an authorization to resell skincare/personal care products (the “Products”) manufactured and/or distributed by SEAN REMY, LLC (“Sean Remy”), but excluding any Products that Sean Remy excludes from re-sale, determined from time to time in its sole discretion. It is not a supply contract and does not guarantee the availability of Products or delivery lead time. This Agreement shall not become effective, and the proposed wholesaler/vendor shall have no rights hereunder, until the proposed wholesaler/vendor (i) has executed this Agreement by registering for a Sean Remy wholesale account on the registration page; (ii) has completed all requirements imposed by Sean Remy; and (iii) has been notified by Sean Remy that it has been approved and accepted as an Authorized Wholesaler hereunder; at which point, the proposed wholesaler/vendor shall become an Authorized Wholesaler (the “Authorized Wholesaler”). Authorized Wholesaler must maintain a current business license certificate (or State equivalent) on file and provide a copy, with Tax ID. Sean Remy reserves the right to accept or reject any proposed wholesaler/vendor in its sole and absolute discretion. This Agreement does not authorize, and Authorized Wholesaler is expressly prohibited from, selling or reselling products on EBAY, Amazon, Amazon Marketplace, Etsy.com or any other third party marketplace, without Sean Remy’s prior express written consent, which may be conditioned or withheld in its sole and absolute discretion. Any breach of this provision shall result in immediate termination of all of Authorized Wholesaler’s rights hereunder.

 

Terms

This Agreement shall be in effect from the date of execution hereof by Sean Remy, which date of execution shall be the date in which Sean Remy notifies the proposed wholesaler/vendor it has been approved and accepted as an authorized wholesaler which notification shall be incorporated into this Agreement by this reference and shall continue in effect until terminated by either party in writing. Sean Remy reserves the right to review and/or revoke the authorization of Authorized Wholesaler at any time by providing notice of termination (the “Revocation Notice”) to Authorized Wholesaler. Following provision of such Revocation Notice or any written termination from either party, Authorized Wholesaler shall thenceforth be a “Former Wholesaler.” Upon receipt of the Revocation Notice or termination notice, the Former Wholesaler may continue to sell any Products remaining in its inventory, but shall otherwise immediately cease and desist from any and all sale of Products. Notwithstanding the foregoing, Sean Remy may, in its sole and absolute discretion, require the Former Wholesaler to immediately return all Products remaining in its inventory by providing written notice to the Former Wholesaler. In such event, the Former Wholesaler shall promptly return all such Products in new, unused and unspoiled condition and shall thereafter receive a refund with respect to the returned Products after giving effect to any deductions and set offs of any amounts owing to Sean Remy and any shipping and restocking fees provided herein.

 

Pricing and Payment Terms

Current wholesale pricing/discounts are visible on Sean Remy’s website and automatically applied when logged into an approved wholesale account. Wholesale pricing CANNOT be combined with any other consumer” discounts, promotions, incentives, or offers unless authorized. This pricing is subject to review and change by Sean Remy from time to time in its sole and absolute discretion. All prices, minimums, discounts, and promotions on this line sheet are subject to change without notice. The price charged for a product will be the price advertised on this line sheet at the time the order is placed, subject to the terms of any promotions or discounts that may be applicable. The price charged will be clearly stated in Authorized Wholesaler order confirmation email. Posted prices do not include taxes or charges for shipping. All such charges will be added to Authorized Wholesaler total price and will be itemized in Authorized Wholesaler shopping cart and in Authorized Wholesaler order confirmation email. Authorized Wholesaler agrees that it is the sole responsibility of Authorized Wholesaler to collect, report, and remit all taxes to the correct tax authority for all business transactions, sales, or revenue stemming from the sales of Sean Remy’s products. 

Authorized Wholesaler shall order the Products by submitting a purchase order through Authorized Wholesaler’s account on Sean Remy’s website, which purchase order must be approved by Sean Remy. All orders must be paid in full in advance. Sean Remy will not ship the Products until payment has been received in full. Sean Remy does not offer credit, consignment, or other delayed payment terms. Sean Remy accepts Visa, MasterCard, Discover, American Express, Afterpay, and PayPal.

 

Minimum Orders

There is a $150 minimum spend on each order, excluding freight. Which can include all items in the Company’s catalog. Each skincare product has a minimum order of 6 units (1 case). 

 

Shipping and Delivery

All shipping costs are the sole responsibility of the Authorized Wholesaler. The Sean Remy packing time is 2-4 business days, shipping time 1-7 days, expect 10 business days maximum for delivery. Sean Remy’s processing days and hours are Monday through Friday, 9:00AM–5:00PM EST. The process of fulfilling an order begins as soon as your order is released (filled). Once an order has been released for fulfillment, it cannot be changed. When an order has shipped, Sean Remy will send an email notification to Authorized Wholesaler containing a tracking number that can be used to track the order’s status. Authorized Wholesaler understands that the tracking link may not be active for up to 48 hours after creation, and that Authorized Wholesaler should allow 48 hours for the tracking information to become available. Authorized Wholesaler will also receive an email once their order has been delivered. 

Unless otherwise agreed in writing:

• Authorized Wholesaler is responsible for all shipping and handling costs, including insurance coverage.

• All orders are shipped via USPS ground only.

• All Products will be delivered by the Sean Remy to the Authorized Wholesaler’s premises, which must be an address within the United States.

• All orders are shipped from Sean Remy’s facility in Lanham, MD. Ownership and risk of loss transfers to the Authorized Wholesaler once the shipment is delivered to the shipping carrier.

• Expedited and ground shipping rates are based on the final weight of the package and the postal code to which it is being shipped.

• Additional shipping fees may apply to same-day or expedited orders.

• The deadline for same day and expedited orders is 12:00 EST. Orders received after this time will be processed for the next business day. 

• One shipping address allowed unless Authorized Wholesaler has multiple locations. No drop shipping.

• The process of fulfilling an order begins as soon as Authorized Wholesaler order is released (filled).

• If Authorized Wholesaler order is returned as undeliverable, Authorized Wholesaler will be subjected to a 25% restocking fee, as well as paying any new shipping costs for re-sending your order.

The Authorized Wholesaler understands that while orders typically arrive within 4–5 business days after shipping, this is an estimated timeframe, and orders may arrive at a later date. Authorized Wholesaler understands that if they require the order on or before a date, they are responsible for ordering in advance to allow ample time for processing and shipping of orders. Any date or dates for the delivery of the products presented by Sean Remy are estimates only, and Sean Remy shall not be liable for any delay in delivery of the products that is caused by a Force Majeure event or the Authorized Wholesaler’s failure to provide the Sean Remy with adequate delivery instructions or any other instructions that are relevant to the supply of the Products.

 

Order Turnaround Times

Sean Remy bears no responsibility for any delays or costs in connection with shipping. Sean Remy order turnaround times are usually 7-10 days or less, depending on the size and content of Authorized Wholesaler’s order. Please remember large orders of $5000 or more may require an additional 2-4 weeks to produce, once Sean Remy is familiar with Authorized Wholesaler needs Sean Remy can stay stocked for quick shipping. Sean Remy does not keep large quantities of our Product in the warehouse because it is natural/organic and has an 18 to 24 month shelf life. Sean Remy wants each shipment to be fresh. Please be aware that as Sean Remy gets closer to the holidays (especially Christmas, and other special holidays), lead time may increase due to the volume of orders received.

 

Shipping Damage Claims

Any shipping-related damage or loss must be claimed by the Authorized Wholesaler with USPS. Authorized Wholesaler is responsible for making claims for damage and insuring packages with USPS. If Authorized Wholesaler does not successfully receive a claim from USPS, Authorized Wholesaler will be responsible for paying for replacements.

INSURANCE CLAIMS: Authorized Wholesaler will need to keep ALL original packaging, box, packing materials, and damaged products until a claim is complete. Photograph the inside, outside, top/bottom, interior of the box thoroughly including all angles, photograph all damaged product inside the box exactly as you found it when opened. Then remove the broken items and photograph them separately. DO NOT THROW ANYTHING AWAY, USPS requires the entire package to be returned in many cases.

 

Returns

Authorized Wholesaler shall have ten (10) days from the receipt of any shipment of Products to inspect the shipment and to provide written notification to Sean Remy of the rejection of any shipment or any part thereof. After the expiration of such time, Authorized Wholesaler shall be deemed to have accepted the entire shipment without defect. In the event the Authorized Wholesaler rejects any shipment or any part thereof, Authorized Wholesaler agrees that its sole remedy shall be to receive a replacement of any product so rejected. All rejected product or other returns must be pre-authorized. Sean Remy does not accept returns of open Product based on anything other than damage or pre-mature Product expiration claims or re-called batches. All returned Product must be in new, unused, and unspoiled condition. Except with respect to instances of rejected shipments, or any part thereof, the returning party will be responsible for shipping charges as well as a 25% restocking fee for each returned order. 

Placing a Wholesale Order with SEAN REMY, LLC indicates that you have read, understand, and accept the conditions outlined in this Wholesale Policy.
